Terms of Service

Last updated 25 October 2026. This is a draft for review and will be finalised with legal counsel before launch.

1. About these terms

These terms are an agreement between DeeISP360 Ltd ("we") and the internet service provider that applies for and uses the DeeISP360 platform ("you"). By submitting an application or using your portal you accept them on behalf of your company.

2. Applications and accounts

We review every application and may approve or decline it. Once approved we create your portal and invite the owner you named, who is responsible for the accounts they create for staff, technicians and resellers.

You must keep sign-in details secret, require two-step sign-in where the platform asks for it, and tell us promptly of any unauthorised use.

3. The service

We provide the modules in your plan and any add-ons you subscribe to, hosted by us, with the service levels in our Service Levels document. We may improve the service over time; we will not remove a core feature you rely on without reasonable notice.

4. Your integrations

You own and remain responsible for your M-Pesa Paybill or Till, your Daraja credentials, your routers, OLTs and SMS accounts. Payments from your customers go directly to your accounts; we never hold your customers' money.

You authorise us to send instructions to your routers and services as the platform is designed to, for example provisioning, suspending and reconnecting subscribers according to your billing rules.

5. Fees and payment

Fees are set by your plan, active subscriber count, add-ons and any SMS units beyond those included, and are invoiced monthly or yearly in Kenya shillings plus VAT.

If an invoice is unpaid we send reminders; after 10 days your portal may become read-only and after 14 days it may be suspended until payment. Automatic billing of your own customers continues while read-only.

6. Data

You own your data. For your subscribers' personal data you are the data controller and we are your data processor under the Kenya Data Protection Act, 2019, as set out in our Privacy Notice and data processing terms.

You can export your data at any time. If your subscription ends we keep your data for 90 days so you can export it, then delete it.

7. Acceptable use

You must use the platform lawfully and only for your licensed services.

  • No sending of unsolicited or unlawful messages through the messaging tools
  • No attempts to access another ISP's data or to probe the platform's security
  • No use that breaches the Communications Authority's requirements or consumer protection law

8. Liability

We take reasonable care to provide a reliable service but cannot guarantee it will be uninterrupted. Our total liability in any 12 months is limited to the fees you paid in that period, and we are not liable for indirect losses or lost profits, except where the law does not allow such limits.

9. Ending the agreement

You may cancel at the end of any billing period. We may suspend or end the service for serious breach of these terms, with notice where practical.

10. Law

These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction.
